The Malta private limited company is not offshore. It is a genuine EU vehicle that gives you an effective 5% on trading income, a participation exemption on holdings, and no withholding tax on outbound profits. You get the result founders chase offshore, from inside the single market through Malta company formation.

What a Private Limited Company Is in Malta

The private limited company, or Ltd, is the vehicle behind the vast majority of international business set up in Malta. It is governed by the Companies Act (Chapter 386 of the Laws of Malta) and gives its owners limited liability, so a claim falls on the company rather than on the shareholders personally, barring fraud or a personal guarantee. One person can own and run it, as both sole shareholder and sole director.

Two sub-forms sit under it. A private exempt company cannot have corporate directors and unlocks lighter obligations, and a single member company is a private exempt company with one shareholder, allowed since 2003. For trading, holding and owner managed businesses, the Ltd is almost always the right starting point.

How a Private Limited Company Is Taxed

The 6/7ths Shareholder Refund

Malta runs a full imputation system. The company pays 35% corporate tax on its profits, the highest headline rate in the European Union, and that number is deliberate. It keeps Malta off every low-tax list. The relief comes afterward, at shareholder level. When the company distributes a dividend, the shareholder claims a refund of the tax already paid, and on trading income that refund is 6/7ths. The effective rate lands at 5%. Passive interest and royalties carry a 5/7ths refund, and income covered by double-taxation relief carries 2/3rds. The refund is a shareholder mechanism, never a reduced corporate rate, which is exactly why it has held up under two decades of EU and OECD scrutiny.

Participation Exemption on Holdings and Intellectual Property

Where the Ltd holds shares in another company, a different rule applies. Qualifying dividends and capital gains from a participating holding, typically an equity stake of 5% or more, are fully exempt from Maltese tax. Nothing to pay, nothing to reclaim. This makes the Ltd an efficient parent for consolidating operating companies under one EU roof. For intellectual property, Malta pairs the same refund system with a Patent Box regime and specific deductions, so income from patents, trademarks and licences can be held and commercialised inside the EU at a low effective rate. Both routes now depend on genuine substance, real activity and decision-making in Malta, in line with current OECD and EU standards.

No Withholding Tax on Outbound Profits

Malta levies no withholding tax on dividends, interest or royalties paid to non-residents. Profit leaves the company and reaches the shareholder without a second Maltese charge on the way out, whatever their country of residence. For payments to other EU group companies, the Parent-Subsidiary and Interest and Royalties Directives reinforce the same result, removing withholding tax between qualifying entities across the single market. The practical effect is clean repatriation. Money earned through the Ltd flows back to you without leaking at the border, which is the part offshore structures often get wrong once a real bank or tax authority looks closely.

Who Should Set Up a Private Limited Company

The Ltd fits most international businesses, but it earns its place with some profiles more than others. Here is where it works, and where another route serves you better.

Cross Border Trading and E-commerce Founders

This is the core case. If you sell goods or services across borders from day one, the Ltd turns the 35% headline into an effective 5% on that trading income through the shareholder refund. You invoice from an EU company, register for EU VAT, and show up as verifiable on the VIES system, which counterparties and payment providers read as credibility rather than risk. E-commerce operators, digital agencies and cross border service firms use the Ltd as their trading base precisely because it pairs a low effective rate with an address banks accept. The condition is real activity, genuine management and decisions made in Malta, not a shell.

Holding and Intellectual Property Owners

The Ltd is an efficient parent. Where it holds a qualifying stake in another company, the participation exemption clears qualifying dividends and capital gains to zero, so profits consolidate under one EU roof without a second layer of Maltese tax. For intellectual property, the same company can own patents, trademarks and licences, pairing the refund system with Malta's Patent Box regime and specific deductions to hold and commercialise IP inside the EU at a low effective rate. Groups restructuring their footprint, founders centralising subsidiaries, and businesses that live off licensing income all fit here. Both routes depend on substance, real presence and value creation in Malta, in line with current OECD and EU standards.

Digital and Remote First Businesses

Malta rewards businesses that sell remotely across Europe while keeping a light operational base. SaaS, micro SaaS, operations software, founder services and niche consulting all suit the Ltd, which is set up entirely from abroad and run with a single director and shareholder. You get an EU IBAN, English law and language, and a company that is live in about a week, without relocating your whole life to the island. For a small team that punches above its weight on a narrow, cross border offer, the Ltd is the base that keeps admin proportionate to the business.

When Another Structure Fits Better

The Ltd is not always the answer, and a mismatch helps no one. If you only reinvest and never distribute, a jurisdiction that leaves retained profit untaxed will beat it. If you plan to raise capital from the public or list, you need a public limited company. If you already trade through a foreign company and want an EU presence without a new entity, a branch or a redomiciliation is cleaner. And if you are structuring family wealth or succession rather than running a business, a foundation or a trust does the job the Ltd cannot.

What You Need to Register a Private Limited Company

Setting up a Malta private limited company takes less than most founders expect. The core requirements are short.

  • One shareholder and one director. A single person can be both. Individual or corporate, with no nationality or residency requirement, so you can own and run the company from abroad.
  • A company secretary. Mandatory, and must be an individual rather than a corporate body. In a private exempt company, the sole director can also serve as secretary.
  • Share capital of €1,164.69. That is the legal minimum authorised capital, of which at least 20% must be paid up on signing, so €232.94 at the minimum.
  • A registered office in Malta and the Memorandum and Articles of Association, signed by the shareholders, setting the company name, objects, capital, directors and secretary.

Alongside these, we run due diligence on every director, shareholder and beneficial owner before filing, which covers certified identification, proof of address, and the beneficial ownership disclosure. Our Malta company requirements page sets out the full checklist, including partnerships, branches and other structures.

How Long It Takes

A private limited company is quick to form. Once your documents are in order, the Malta Business Registry issues the Certificate of Registration in two to five business days, and the company legally exists from the date on it.

Getting fully operational takes a little longer. With a digital account for day to day banking, most founders are running within two to four weeks. The registration, the tax number and the VAT number all move inside that window.

The real bottleneck is not incorporation or any licence. It is the traditional bank account, which can take three to six weeks for a low risk company owned by EU residents, and longer for non resident owners. We handle this by opening a digital account immediately and a traditional account in parallel, so the company can trade while the bank completes its review.

Our company formation timeline page breaks down every stage with realistic durations.

Is the Private Limited Company Still Worth It in 2026

Yes, and the doubts usually trace back to three things worth answering directly.

“The 35% rate is the highest in the EU.” Correct, and deliberate. Malta sets the headline high so it is not classified as a low-tax jurisdiction, then returns most of it through the shareholder refund. The company pays 35%, the refund brings trading income to an effective 5%, and because the relief sits at shareholder level under a system the European Commission has reviewed, it has held up where flashier zero-rate jurisdictions were blacklisted.

“Malta is really offshore.” It is not. Malta is a full EU member state, in the eurozone, on no EU or OECD blacklist, and it left the FATF grey list in 2022. The Ltd banks on an EU IBAN and is verifiable on VIES. That is the opposite of an offshore nameplate.

“Substance is now required.” True, and this protects you rather than threatening you. The effective 5% is earned through genuine presence, real management and decisions taken in Malta. A properly run Ltd meets that test comfortably, and it is exactly what keeps your bank, your auditor and your home tax authority comfortable too.
