This website is operated by EcoClick Ltd (Registration Code: C 97306, Malta). By using malta-company-formation.com, you agree to the terms set out below. If you do not agree with any part of these terms, do not use this site.
1. Who We Are
Malta Company Formation is an information and lead qualification platform operated by EcoClick Ltd, a business consulting company registered in Malta. Company incorporation, fiduciary services, and ongoing administration are delivered by Equitrust Group, authorised by the Malta Financial Services Authority (MFSA) under MBR Registration Code C 56911, with licence authorisation issued on 10 July 2012.
These terms govern your use of this website only. They do not constitute a service agreement. A separate engagement letter, signed by both parties, governs any services you commission through this platform.
2. Scope of This Website
All content published on this site is provided for informational purposes only. It does not constitute legal, tax, financial, or regulatory advice under Maltese law or the law of any other jurisdiction. Malta’s corporate tax framework, the 6/7ths refund mechanism, MFSA licensing requirements, and MBR procedures are described in general terms. They do not account for your specific circumstances, ownership structure, or tax position in your country of residence.
If you need an assessment of how a Malta structure applies to your specific situation, submit a dossier through this platform and we will review it directly within 48 hours on business days.
3. No Tax or Legal Advice
Nothing on this website should be read as tax advice, legal advice, or a guarantee of any tax outcome in Malta or in your home jurisdiction. An effective corporate tax rate of approximately 5% in Malta results from a 35% statutory charge followed by a 6/7ths shareholder refund. This does not mean you pay 5% globally. Your personal and corporate tax obligations in your country of residence remain entirely separate. You remain responsible for understanding and managing those obligations. We recommend engaging a qualified tax adviser in your home jurisdiction before making any structuring decision.
4. Your Obligations
When submitting a dossier or contacting us through this platform, you agree to:
- Provide accurate, complete, and truthful information about yourself, your ownership structure, your business activity, and your source of funds
- Notify us promptly of any material change to information you have already provided
- Not use this site or its enquiry forms for any unlawful purpose or in connection with any activity that would violate Maltese law or EU regulations
- Not submit false, misleading, or deliberately incomplete information
We reserve the right to decline any enquiry at our discretion and without providing a reason. Providing false information in connection with a KYC or AML process is a criminal offence under Maltese law.
5. Service Engagement
Submitting an enquiry or dossier through this site does not constitute a binding contract or instruction to act. A service relationship begins only when both parties have signed an engagement letter and initial fees have been received by Equitrust Group.
All fees are non-refundable once work has commenced. Third-party charges, including Malta Business Registry government fees, notarisation, apostille, and banking costs, are invoiced at cost with no markup.
6. Termination of Services
Either party may terminate an active service agreement with written notice. Notice must be given at least one month before the annual renewal date. Fees already paid are non-refundable. A defined exit fee applies where transfer to a new registered office provider, company secretary, or administration partner is required.
On termination, the client is responsible for appointing a replacement registered office in Malta, a qualified company secretary, and any other mandatory officer required under the Companies Act, Cap. 386. Equitrust Group will cooperate with the transfer once all outstanding fees have been settled in full. Corporate documents are released to the client or their nominated successor upon settlement.
7. AML and Compliance Obligations
Equitrust Group operates under Malta’s full AML and KYC framework, including the Prevention of Money Laundering Act (Cap. 373), the applicable EU Anti-Money Laundering Directives, and FIAU (Financial Intelligence Analysis Unit) implementing procedures. In accordance with these obligations, we are required to:
- Verify the identity of all directors, shareholders, and ultimate beneficial owners before commencing any work
- Obtain and assess evidence of source of funds and source of wealth where applicable
- Apply enhanced due diligence to higher-risk profiles, including politically exposed persons and clients from higher-risk jurisdictions
- File Suspicious Transaction Reports with the FIAU where legally required, without prior notification to the client
- Retain identity and transaction records for a minimum of 5 years following termination of the business relationship, in accordance with Maltese AML legislation
We do not incorporate structures we cannot document. A file that cannot be verified through standard due diligence does not proceed to the Malta Business Registry.
8. Confidentiality
Both parties agree to treat each other’s confidential information with strict discretion. We will not share your information with any third party outside the scope of service delivery. Mandatory exceptions apply where disclosure is required by Maltese law, a court order, an MFSA directive, or a FIAU reporting obligation. In such cases, we are legally prohibited from notifying you that a disclosure has been made.
This confidentiality obligation survives the termination of any agreement between the parties.
9. Limitation of Liability
Our aggregate liability under any engagement is limited to the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, including loss of profit, loss of revenue, missed tax refund entitlements, banking rejections, regulatory penalties, or loss of business opportunity.
We warrant that services will be performed with reasonable professional care and skill. We do not warrant any specific outcome, regulatory approval timeline, or decision by the Malta Business Registry, the MFSA, the MGA, or the Office of the Commissioner for Revenue. These are independent authorities whose decisions are outside our control.
10. Intellectual Property
All content on this website, including text, structure, editorial analysis, and design, is the property of EcoClick Ltd. You may not reproduce, distribute, or republish any part of it without prior written consent. Unauthorised reproduction of content that includes specific regulatory data, tax mechanics, or proprietary editorial framing may constitute infringement under Maltese intellectual property law.
Corporate documents, statutory filings, and financial records prepared specifically for your company remain your property once all outstanding fees have been settled in full.
11. Force Majeure
Neither party is liable for delays or failures caused by circumstances outside their reasonable control. This includes regulatory decisions by the MBR, MFSA, or MGA, electronic system failures affecting the BAROS filing platform, banking system interruptions, or events of force majeure as defined under Maltese law. If such circumstances persist for more than 6 months, either party may terminate the relevant service agreement in writing with immediate effect.
12. Governing Law
These terms are governed by the laws of Malta. EcoClick Ltd is registered in Malta (C 97306). Any dispute arising from the use of this website or from any service engagement shall be subject to the exclusive jurisdiction of the Maltese courts.
13. Amendments
We may update these terms at any time to reflect changes in Maltese law, MFSA requirements, or our operating practices. The date shown at the top of this page reflects the most recent revision. Continued use of this site following an update constitutes acceptance of the revised terms. Material changes affecting active client engagements will be communicated directly.
14. Contact
